MUNGO End User License Agreement (EULA)

This End User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and MUNGO ("we," "us," "our") for the MUNGO desktop application software (the "Software"), which includes computer software and may include associated media, printed materials, and online or electronic documentation.

1. Acceptance
By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree, do not install or use the Software. On first launch, MUNGO will display this EULA in a dialog; you must click "I Accept" to proceed. Refusal to accept will exit the application.

2. License Grant
Subject to your compliance with this EULA, the Terms of Service, and the Privacy Policy, MUNGO grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:
  • Install and use the Software on devices you own or control;
  • Use the Software solely in connection with the MUNGO Service and for bona fide Model UN educational purposes;
  • Make a single backup copy of the Software for archival purposes.
This license is granted for the duration of your active MUNGO account. No rights are granted by implication, estoppel, or otherwise.

3. License Restrictions
You shall NOT, and shall not permit any third party to:
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent that such activity is expressly permitted by applicable law (e.g., 17 U.S.C. § 1201(f) for interoperability) notwithstanding this limitation;
  • Modify, adapt, translate, or create derivative works based on the Software (the public source code on GitHub is separately licensed under terms in the repository's LICENSE file);
  • Rent, lease, sell, sublicense, distribute, redistribute the Software, or any of its components, to any third party;
  • Remove or alter any proprietary notices, labels, or marks on the Software;
  • Use the Software to develop or train competing AI/ML models, or to circumvent the security or rate-limit controls of the MUNGO Service;
  • Use the Software in any manner that violates applicable laws or third-party rights.

4. Automatic Updates
The Software includes an auto-update mechanism (powered by electron-updater) that automatically checks for, downloads, and installs updates. By using the Software, you consent to receiving automatic updates without further notice. Updates may include:
  • Bug fixes, security patches, and performance improvements;
  • New features and changes to existing features;
  • Updates to dependencies and third-party libraries.
Updates are downloaded in the background and installed when you choose to restart the application (via the "Restart to install" button) or when the application is next quit and relaunched. Major updates that materially change the EULA terms will require you to re-accept the new EULA on next launch.
You may not disable, block, or interfere with the auto-update mechanism. Doing so may render your installation insecure and outside the scope of our support.

⚠️ Unsigned Binary Warning: During v1 RC public beta, MUNGO desktop binaries are not code-signed with a commercial certificate. On first install, Windows SmartScreen and macOS Gatekeeper will display security warnings. The Software is nonetheless safe (you can verify its integrity against the SHA-256 checksum published in GitHub Releases), but you bypass these warnings at your own risk. Code-signing will be added before v1.0 GA. MUNGO is not liable for damages resulting from your inability to bypass operating system security warnings.

5. Open Source Components
The Software incorporates open-source software components, including but not limited to:
  • Electron (MIT License) — Cross-platform desktop framework;
  • Chromium (BSD 3-Clause License) — Web rendering engine embedded in Electron;
  • Node.js (MIT License) — JavaScript runtime;
  • React (MIT License) — UI library;
  • Tailwind CSS (MIT License) — Utility-first CSS framework;
  • electron-updater (MIT License) — Auto-update mechanism;
  • argon2 (Apache 2.0 License) — Password hashing;
  • Additional libraries as listed in the Software's "About → Open Source Licenses" dialog and the project's package-lock.json.
Each open-source component is governed by its respective license. The full text of each license is included in the Software's distribution and available via the "About" dialog. This EULA does not supersede the licenses of any open-source components; in case of conflict, the open-source component's license controls for that component only.

6. User Content and Privacy
Your use of the Software and any content you submit through it (e.g., chat messages, documents, meeting minutes) is governed by:
  • The MUNGO Terms of Service (Section 9 — User Content);
  • The MUNGO Privacy Policy;
  • The MUNGO Cookie Policy (Note: the desktop application does not use HTTP cookies; refresh tokens are stored in the operating system keychain).
These documents are incorporated into this EULA by reference. The Software stores authentication credentials securely using the operating system's native credential storage (macOS Keychain, Windows DPAPI, Linux libsecret) and does not retain them in plain text.

7. Intellectual Property
The Software is licensed, not sold. MUNGO and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights therein. No title or ownership in the Software is transferred to you. The trademarks "MUNGO" and the mango logo are the property of MUNGO. Open-source components remain the property of their respective copyright holders.

8. Termination
This EULA is effective until terminated. Your rights under this EULA terminate automatically and without notice from MUNGO if:
  • You fail to comply with any term of this EULA;
  • Your MUNGO account is terminated or suspended (as described in Terms of Service §14);
  • You uninstall the Software from all devices.
Upon termination, you must immediately stop using and uninstall all copies of the Software from your devices. Sections 7, 9, 10, 11, and 13 survive termination.

9. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SOFTWARE WILL OPERATE UNINTERRUPTED OR ERROR-FREE. MUNGO DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT ANY DEFECTS IN THE SOFTWARE WILL BE CORRECTED.
AI features included in the Software are provided "AS IS" — see Terms of Service §8 for detailed AI disclaimers.

10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MUNGO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR USE) ARISING FROM OR RELATED TO YOUR USE OR INABILITY TO USE THE SOFTWARE, EVEN IF MUNGO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
MUNGO'S TOTAL LIABILITY UNDER THIS EULA SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) USD $100.

11. Export Control
The Software may be subject to U.S. export control laws and regulations. You agree to comply with all such laws and regulations and not to export, re-export, or otherwise transfer the Software in violation of them. You represent that you are not located in, and will not export the Software to, any country subject to comprehensive U.S. trade sanctions (currently Cuba, Iran, North Korea, Syria, and the Crimea/Donetsk/Luhansk regions of Ukraine).

12. Governing Law and Disputes
This EULA is governed by the laws of the State of California, USA. Any disputes arising out of or related to this EULA shall be resolved through binding individual arbitration as described in Terms of Service §18.

13. Changes to This EULA
We may modify this EULA from time to time. Material changes will be communicated by (a) updating the "Last updated" date at the top of this EULA, (b) requiring you to re-accept the new EULA via an in-app dialog on next launch of the Software, and (c) for paid plan users, sending an email notification at least 30 days before the effective date. Continued use of the Software after the effective date constitutes acceptance.

14. Entire Agreement
This EULA, together with the Terms of Service, Privacy Policy, and Cookie Policy, constitutes the entire agreement between you and MUNGO regarding the Software and supersedes any prior agreements. If any provision is found unenforceable, the remaining provisions remain in full force.
